Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Plasmatio PayGate app ("the App") provided by Plasmatio, LLC ("we", "us", "our"), an Indiana limited liability company. By installing or using the App on your Shopify store, you agree to these Terms.

1. The service

PayGate is a Shopify app that lets merchants hide specific payment methods at checkout for flagged products. It runs via Shopify's Payment Customization Function, Theme App Extensions, and Checkout UI Extensions. Rule configuration, customer warnings, and a "Remove and continue" split-cart flow are provided from within the Shopify admin.

2. Eligibility

You may use the App only if you have an active Shopify store and the legal capacity to enter into these Terms. The App is intended for use by store owners or staff authorized to install apps on their store's behalf.

3. Account and billing

Billing for the App is handled through Shopify's App Charges API. The App is offered as a single recurring subscription: PayGate Standard — $7.99 USD per 30 days, with a 7-day free trial on the first install of your Shopify store. Pricing is also displayed at the moment of install approval and on the Shopify App Store listing.

Shopify collects payment from you on our behalf and remits the subscription fee to us. Cancellation and refund policies follow Shopify's standard app-billing terms. You may cancel your subscription at any time by uninstalling the App from your store; uninstalling stops future billing immediately, and no partial refunds are issued for the current billing period.

We may change pricing in the future. Any price change will be announced with reasonable notice in the App's admin UI and on the Shopify App Store listing before it takes effect, and Shopify will require you to approve the new charge before it applies.

4. Acceptable use

You agree not to:

• Use the App for any unlawful purpose.
• Attempt to circumvent Shopify's platform terms, payment gateway rules, or applicable payments-industry regulations by using the App to route around lawful payment obligations.
• Reverse-engineer, decompile, or modify the App or its extensions except as permitted by law.
• Resell, sublicense, or provide the App's functionality to third parties outside of your own Shopify store(s).

5. Intellectual property

The App, including all code, extensions, icons, and documentation, is the property of Plasmatio, LLC. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App on your installed Shopify store for the duration of an active subscription. Your data (rules, settings, custom messages) remains yours.

6. Service availability

We aim for high availability but do not guarantee uninterrupted service. The App's availability depends on Shopify's platform and our hosting providers. We may perform maintenance that briefly affects the App and will attempt to minimize impact. We are not liable for downtime caused by Shopify, the merchant's theme, or third-party payment gateways.

7. Warranty disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PLASMATIO, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST SALES, OR LOST DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE APP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold Plasmatio, LLC harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the App, your violation of these Terms, or your infringement of any third-party right.

10. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms, if required by Shopify, or if we discontinue the App with reasonable notice. Upon termination or uninstallation, your data will be deleted in accordance with our Privacy Policy.

11. Governing law

These Terms are governed by the laws of the State of Indiana, United States, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the App shall be resolved exclusively in the state or federal courts located in Indiana, and you consent to the personal jurisdiction of those courts.

12. Changes to these Terms

We may modify these Terms from time to time. Material changes will be communicated by updating the "Last updated" date at the top of this page and, if the change is significant, by email to installed merchants. Your continued use of the App after such changes constitutes acceptance of the revised Terms.
